Accessing the Site will constitute your acceptance of these terms of use. Please do not enter the Site if you do not agree to abide by these terms.

We reserve the right to change the nature of this relationship at any time and to revise these Terms of Use from time to time as we see fit. As such, you should check these Terms of Use periodically. Your accessing, viewing, browsing and/or using the Site after we post changes to these Terms of Use constitutes your acceptance and agreement to those changes, whether or not you actually reviewed them. If you violate any of the terms of these Terms of Use you will have your access canceled and you may be permanently banned from accessing, viewing, browsing and using the site. (ii) Advertisements or solicitations of any kind.

(iii) Impersonate others or provide any kind of false information.

(iv) Personal information such as messages which state phone numbers, social security numbers, account numbers, addresses, or employer references.

(v) Messages by non-spokesperson employees of Paul Nagi Custom Design purporting to speak on behalf of Paul Nagi Custom Design or containing confidential information or expressing opinions concerning Paul Nagi Custom Design.

(vi) Messages that offer unauthorised downloads of any copyrighted or private information.

(vii) Multiple messages placed within individual folders by the same user restating the same point.

(viii) Chain letters of any kind.

(ix) Identical (or substantially similar) messages to multiple recipients advertising any product or service, expressing a political or other similar message, or any other type of unsolicited commercial message. This prohibition includes but is not limited to a) Using invitations from the Site to send messages to people who don’t know you or who are unlikely to recognise you as a known contact; b) Using the Site to connect to people who don’t know you and then sending unsolicited promotional messages to those direct connections without their permission; and c) Sending messages to distribution lists, newsgroup aliases, or group aliases.

Limitations of Liability

Except where prohibited by law, Paul Nagi Custom Design disclaims all liability for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Paul Nagi Custom Design has been advised of the possibility of such damages.

Indemnity

You agree to indemnify and hold Paul Nagi Custom Design, its officers, presidents, shareholders, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Paul Nagi Custom Design by any third party due to or arising out of or in connection with your use of the Site, its Terms of Use, or your violation of any law or the rights of a third party.

Violation of These Terms of Use

Paul Nagi Custom Design may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with a violation of the terms of use. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Paul Nagi Custom Design, for which monetary damages would be inadequate, and you consent to Paul Nagi Custom Design obtaining any injunctive or equitable relief that Paul Nagi Custom Design deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Paul Nagi Custom Design may have at law or in equity.

You agree that Paul Nagi Custom Design may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to):

Requests by law enforcement or other government agencies,

A request by you (self-initiated account deletions),

Discontinuance or material modification of the Site or any service offered on or through the Site, and

Unexpected technical issues or problems.

If Paul Nagi Custom Design does take any legal action against you as a result of your violation of these Terms of Use, Paul Nagi Custom Design will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Paul Nagi Custom Design. You agree that Paul Nagi Custom Design will not be liable to you or to any third party for termination of your access to the Site.

Governing Law; Dispute Resolution

By accessing this website, you agree that Utah law governs the terms of use, the privacy policy and any agreements entered herein. By accessing this site you agree to be bound by the laws and jurisdiction of Utah. If you access the Site from anywhere other than the United States, you agree that Utah law will govern these Terms and Conditions and the purchase of products by you through the Site and that any dispute of any sort that might arise between you and Paul Nagi Custom Design or its affiliates and subsidiaries shall be subject to the exclusive jurisdiction of the courts of Utah.

Feedback and Information

Paul Nagi Custom Design does not claim ownership of any feedback or similar materials you make available through the Site. At Paul Nagi Custom Design sole discretion, such materials may be included in the Site in whole or in part or in a modified form. With respect to such materials you submit or make available for inclusion on the Site, you grant Paul Nagi Custom Design a perpetual, irrevocable, non-terminable, worldwide, royalty-free and non-exclusive license to use, copy, distribute, publicly display, modify, create derivative works, and sublicense such materials or any part of such materials. You hereby represent, warrant and covenant that any materials you provide do not include anything (including, but not limited to, text, images, music or video) to which you do not have the full right to grant the license specified in this section.

Survival of Terms After Agreement Ends

Notwithstanding any other provisions of this Terms of Use, or any general legal principles to the contrary, any provision of this Terms of Use that imposes or contemplates continuing obligations on a party will survive the expiration or termination of this Terms of Use.
